These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Al Mahbara FZE, a company incorporated under the laws of the United Arab Emirates and licensed by Sharjah Publishing City Free Zone Authority (Formation Number: 4423656) ("Almahbara," "we," "us," or "our").

These Terms govern your access to and use of our website (https://almahbara.ai), mobile applications, AI-powered educational platforms, subscription services, and all related tools, features, and content ("Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

• Subscription Fees: Due in advance for each billing cycle
• Payment Methods: Credit/debit cards, PayPal, and other approved methods via Payoneer
• Currency: Primarily USD, EUR, GBP as specified during registration
• Automatic Renewal: Unless cancelled, subscriptions renew automatically
• Price Changes: 30 days advance notice for existing subscribers

• Free Trial: Cancel anytime during trial period for full refund
• Monthly Subscriptions: Prorated refunds within 14 days of billing
• Annual Subscriptions: Prorated refunds within 30 days of billing
• Enterprise Contracts: As specified in individual agreements
• Processing Time: Refunds processed within 5-10 business days

• Grace Period: 5 days after due date
• Service Suspension: Access may be suspended after grace period
• Account Termination: Accounts may be terminated after 30 days non-payment

You may not use our Services to:

• Violate any applicable laws, regulations, or third-party rights

• Share accounts or circumvent usage limitations
• Create competing AI services using our technology
• Impersonate others or provide false information
• Spam, distribute malware, or engage in fraudulent activities
• Violate intellectual property rights
• Generate content for illegal surveillance or privacy violations
• Create content that promotes violence, terrorism, or illegal activities

• We reserve the right to monitor usage patterns and content generation
• Automated systems may flag potentially problematic use
• Account restrictions may be applied for policy violations
• Persistent violations may result in permanent account termination

• All platform content, including AI models, interfaces, and documentation, is proprietary
• Protected by copyright, trademark, and trade secret laws
• No license granted except as explicitly stated in these Terms
• Unauthorized use may result in legal action

• You retain ownership of content you input into our Services
• You grant us a worldwide, non-exclusive, royalty-free license to: 
  • Process your content to provide Services
  • Use anonymized data to improve our AI models
  • Store and backup your content as necessary
• You represent that you have rights to all content you provide

• Content generated by our AI belongs to you as the user
• Subject to these Terms and applicable law
• We do not claim ownership of AI outputs
• You are responsible for compliance with applicable laws regarding AI-generated content

• May be subject to separate license terms
• Used in accordance with fair use and licensing agreements
• Your use must comply with third-party restrictions

• Our AI provides educational assistance and content generation
• Responses are algorithmically generated, not human expert advice
• May not always be accurate, complete, or contextually appropriate
• Should be verified for critical applications

You acknowledge that AI-generated content:

• Is for informational and educational purposes only
• Should not be used as sole basis for important decisions
• May contain errors, biases, or outdated information
• Is not professional advice (medical, legal, financial, etc.)
• May not be suitable for all audiences or contexts

• Verify AI-generated information before relying on it
• Use critical thinking and human judgment
• Comply with professional standards in your field
• Ensure appropriate supervision for minors
• Take responsibility for how you use AI-generated content

• Processing governed by our Privacy Policy
• Minimal data collection principle applied
• Clear consent mechanisms for optional data sharing
• Regular security audits and compliance reviews

• We may use anonymized interaction data to improve services
• Personal conversations are not used for public model training
• You can opt out of data usage for improvement purposes
• All processing complies with applicable privacy laws

• Industry-standard encryption and security measures
• Regular security assessments and updates
• Incident response procedures for data breaches
• User notification within 72 hours of confirmed breaches

• Uptime Target: 99.5% availability (excluding maintenance)
• Maintenance Windows: Scheduled during off-peak hours with advance notice
• Support Response Times: 
  • Technical issues: 24-48 hours
  • Billing inquiries: 5 business days
  • Enterprise customers: As specified in service agreements

• Services available globally except where prohibited by law
• Some features may be restricted in certain jurisdictions

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE
• NON-INFRINGEMENT OF THIRD-PARTY RIGHTS
• ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT
• UNINTERRUPTED OR ERROR-FREE OPERATION
• SECURITY OR FREEDOM FROM MALICIOUS CODE

• AI responses are experimental and may contain errors
• No warranty of accuracy for AI-generated content
• Users must exercise independent judgment
• We disclaim liability for AI-related decisions or outcomes

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED:

• For free users: AED 100
• For paid subscribers: Amount paid in the 12 months preceding the claim
• For enterprise customers: As specified in individual agreements

WE SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
• BUSINESS INTERRUPTION OR LOSS OF GOODWILL
• DAMAGES RESULTING FROM THIRD-PARTY ACTIONS
• DAMAGES FROM AI-GENERATED CONTENT OR DECISIONS BASED THEREON

This limitation does not apply to:

• Intentional misconduct or gross negligence
• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Any liability that cannot be excluded under applicable law

You agree to defend, indemnify, and hold harmless Almahbara, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of the Services
• Violation of these Terms or applicable laws
• Infringement of third-party rights
• Content you provide or generate using our Services
• Your business decisions based on AI-generated content

• Cancel subscription anytime through account settings
• Immediate termination for free accounts
• Paid subscriptions remain active until end of billing period
• Data export available for 30 days after termination

We may suspend or terminate your access immediately if:

• You violate these Terms or our policies
• Your account shows fraudulent or suspicious activity
• Required by law or legal process
• We cease offering the Services
• For extended non-payment (paid accounts)

• Immediate cessation of Service access
• Data retention according to Privacy Policy
• Surviving provisions remain in effect
• No refund for partial billing periods (unless required by law)

• We may update these Terms to reflect legal, operational, or service changes
• Material changes require 30 days advance notice
• Notice provided via email and website posting
• Continued use constitutes acceptance of updated Terms

• We may modify, suspend, or discontinue Services with reasonable notice
• New features may be subject to additional terms
• Pricing changes require advance notice for existing subscribers

Before formal proceedings, you agree to contact us at legal@almahbara.ai to attempt informal resolution for 60 days.

• Jurisdiction: Courts of Sharjah, UAE have exclusive jurisdiction
• Language: Proceedings conducted in English or Arabic
• Small Claims: Individual claims under AED 20,000 may be pursued in small claims court

You agree to resolve disputes individually and waive rights to participate in class actions or representative proceedings.

• Some features may be restricted based on user location

• Users responsible for compliance with local laws
• Additional terms may apply for specific jurisdictions

Failure to enforce any provision does not constitute waiver of that provision or any other rights.

In case of conflict between English and translated versions, English version prevails.
